TERMS OF SERVICE:

1. INTRODUCTION

These Terms of Service ("Terms") constitute a legally binding agreement between you and Morpheus Trading, LLC, doing business as Morpheus Trading Group ("MTG," "Company," "we," "our," or "us") governing your access to and use of our websites, applications, products, and services (collectively, the "Services"), including but not limited to:

• Morpheus Trading Academy

• TradeQuest course and educational products

• MTG Tribe community platform

• Wagner Daily newsletter and trade alerts

• Morpheus Crypto newsletter and trade alerts

• Related mobile applications and trading tools

By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. ELIGIBILITY

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you have the legal capacity to enter into a binding contract with MTG and are not prohibited from using the Services under the laws of the United States or any other applicable jurisdiction.

MTG offers various subscription-based Services, including but not limited to:

MTG Tribe Premium

• Advanced community access

• Premium educational content

• Additional features as described on our website

3.2 Educational Products

MTG offers educational products, including but not limited to:

TradeQuest

• Comprehensive trading education course

• Digital Graphic Novel format

• Associated educational materials

Mini-Courses and Specialized Training Programs

• Focused educational content on specific trading topics

• Self-paced learning modules

• Certificates of completion (where applicable)

3.3 Community Access

MTG provides community platforms where users can interact, share information, and engage with MTG staff and other members. Community access may be included with certain subscriptions or may be available separately.

3.4 Subscription Period and Renewal

Paid subscriptions to MTG's Services are available on either a monthly or an annual basis, as specified at the time of purchase. For your convenience, all subscriptions will automatically renew at the end of the applicable subscription period unless cancelled as described in Section 3.6.

3.5 Payment Terms

Billing Cycle

• Monthly subscriptions will be billed on the same date each month

• Annual subscriptions will be billed on the same date each year

• Course purchases are billed as a one-time payment or according to the payment plan selected at checkout

Payment Methods

• We accept major credit cards, debit cards, and other payment methods as indicated during the checkout process

• By providing payment information, you represent that you are authorized to use the payment method and agree to pay all charges at the prices then in effect for your purchases

Taxes

• All fees are exclusive of taxes, which we will charge as applicable

• You are responsible for paying any taxes that apply to your subscription

3.6 Cancellation and Refunds

Subscription Cancellation

• You may cancel your subscription at any time by sending a request to [email protected]

• Cancellation requests must be received at least three (3) business days before the end of the current subscription period

• After cancellation, access to subscription Services will continue until the end of the current billing cycle

Refund Policy

• Wagner Daily and Morpheus Crypto Services: New subscribers may request a full refund within 30 days of initial subscription purchase (30-day Satisfaction Guarantee)

• TradeQuest and Educational Products: New purchasers may request a full refund within 7 days of purchase (7-day Satisfaction Guarantee)

• Refund guarantees apply only to first-time purchases and cannot be claimed for renewals or by previous subscribers who have resubscribed

• MTG does not offer partial or prorated refunds for any subscription fees beyond the applicable guarantee period

Course and Educational Product Refunds

• Refund requests for educational products must be submitted within the guarantee period specified at the time of purchase

• Access to course materials will be revoked upon refund processing

• MTG reserves the right to deny refunds for courses where a significant portion of the content has been accessed or downloaded

3.7 Price Changes

MTG reserves the right to change pricing for any of our Services at any time. We will provide notice of any price changes by posting the new prices on our website or by notifying you via email. Existing subscribers will continue at their current pricing until the end of their current billing cycle, after which the new pricing will apply.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong password and keep it confidential

• Notify us immediately of any unauthorized use of your account

• Ensure proper logout from your account after each session

• Not share your account credentials with any third party

4.3 Unauthorized Access

We reserve the right to disable any user account if we believe you have violated these Terms or if we determine that your account shows signs of suspicious activity.

5. USER CONDUCT AND COMMUNITY GUIDELINES

5.1 Prohibited Activities

You agree not to engage in any of the following activities:

• Engage in any harassing, threatening, intimidating, or predatory conduct

• Impersonate any person or entity or misrepresent your affiliation with any person or entity

• Engage in false, deceptive, or misleading practices

• Use the Services for any illegal or unauthorized purpose

• Transmit any viruses, malware, or other types of malicious code

• Collect or harvest user data without permission

When participating in MTG community platforms, you agree to follow these additional guidelines:

• Treat others with respect and courtesy

• Share genuine trading experiences and questions

• Do not promote other services, products, or investment opportunities

• Do not post specific investment advice or recommendations to other users

• Respect the intellectual property rights of MTG and other users

• Do not post personal contact information or private details

• Focus discussions on trading-related topics

Users agree to comply with the MTG Community Guidelines, which are incorporated by reference into these Terms of Service. The current version of the Community Guidelines is available at [URL to Community Guidelines]. Violations of the Community Guidelines constitute violations of these Terms of Service.

5.3 Enforcement

MTG reserves the right, but does not assume the obligation, to monitor any activity and content associated with our Services. We may investigate violations of these Terms and may take any action we deem appropriate, including but not limited to:

• Issuing warnings

• Removing content

• Temporarily or permanently suspending your account

• Reporting activity to appropriate authorities

6. ACCEPTABLE USE POLICY

6.1 General Usage Restrictions

In addition to the prohibited activities and community guidelines outlined in Section 5, you agree to comply with the following acceptable use requirements when using our Services:

6.1.1 Technical Restrictions

You shall not:

• Use automated means (bots, scrapers, harvesters, or similar technologies) to access the Services without our prior written permission

• Attempt to bypass or circumvent any access controls or security measures

• Engage in activity that imposes an unreasonable load on our infrastructure or could disrupt service for other users

• Redistribute, resell, publish, license, transfer, or commercially exploit MTG's proprietary content, including but not limited to educational materials, trading methodologies, course content, newsletters, or alerts

• Remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Services

• Create derivative works of MTG content without express written permission

• Use MTG's trademarks, service marks, or logos without express written permission

• Record, copy, or distribute any live sessions, webinars, or video content provided through the Services

6.1.3 Trading-Specific Conduct

You shall not:

• Engage in discussions that could be construed as encouraging market manipulation or other violations of securities laws

• Coordinate trading activities with other users in a manner that could potentially violate applicable laws or regulations

• Present yourself as a licensed financial advisor unless you possess appropriate credentials and have disclosed them to MTG

• Make specific guarantees or unrealistic claims about trading performance or results

• Solicit investments or offer financial instruments in violation of applicable securities laws

• Provide specific financial advice to other users that would require professional licensing

6.1.4 Content Standards

All content you submit or share through the Services must:

• Be accurate (where stating facts) and clearly distinguishable from opinions

• Include appropriate disclaimers when sharing trading results or strategies

• Respect the intellectual property rights of others, including properly attributing sources

• Comply with all applicable laws and regulations, including but not limited to securities laws

• Maintain appropriate levels of professionalism, particularly in trading-related discussions

• Not contain material that is defamatory, obscene, offensive, hateful, or inflammatory

6.2 Enforcement and Reporting

6.2.1 Reporting Violations

If you become aware of any violation of this Acceptable Use Policy, you may report it by:

• Using the reporting tools available within the Services

• Notifying MTG staff directly through available communication channels

6.2.2 Enforcement Process

MTG employs a graduated enforcement approach that may include:

• Issuing warnings for initial or minor violations

• Temporarily suspending access to specific features

• Removing content that violates this policy

• Temporarily suspending account access

• Permanently terminating accounts for serious or repeated violations

6.2.3 Appeals

If you believe an enforcement action has been taken in error, you may submit an appeal by contacting [email protected]. Appeals must:

• Be submitted within 14 days of the enforcement action

• Include your account information

• Provide a clear explanation of why you believe the enforcement action was incorrect

• Include any supporting documentation or evidence

MTG will review appeals within a reasonable timeframe and notify you of the decision. All enforcement decisions are at MTG's sole discretion.

6.3 Modifications to Acceptable Use Policy

MTG reserves the right to modify this Acceptable Use Policy at any time. Changes will be effective when posted on the Services or otherwise communicated to you. Your continued use of the Services after such changes constitutes acceptance of the updated Acceptable Use Policy.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 MTG Content

All content included in or made available through the Services, such as text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and educational materials, is owned by MTG or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You represent and warrant that you have all rights necessary to grant the licenses granted in this section and that your User Content does not violate any law or the rights of any third party.

7.4 Feedback

If you provide MTG with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to MTG all rights in such Feedback and agree that MTG shall have the right to use and fully exploit such Feedback in any manner it deems appropriate.

8. EDUCATIONAL AND INFORMATION SERVICES DISCLAIMER

8.1 Not Investment Advice

The content and information provided through our Services are for educational and informational purposes only. MTG provides market analysis and educational content based on publicly available information. The information and opinions contained in MTG's reports, publications, courses, and community platforms should not be construed as investment advice or recommendations to buy or sell securities or cryptocurrencies.

8.2 Not Financial Advisors

MTG is not registered as a broker, broker-dealer, investment advisor, agent, or representative with the U.S. Securities and Exchange Commission or any similar authority. We do not provide personalized investment advice based on your individual financial situation.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, you release MTG and its officers, directors, employees, and agents from all liability, claims, damages, losses, and expenses of any kind (including attorney fees and costs) relating to:

• Your use of or inability to use the Services

• Any investments or trades you make based on information from our Services

• Any User Content or content of third parties

• Any conduct of any third party using our Services

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MTG or its officers, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses that result from:

• The use of or inability to use the Services

• Unauthorized access to or alteration of your transmissions or data

• Statements or conduct of any third party on the Services

• Any other matter relating to the Services

Under no circumstances shall MTG's aggregate liability exceed the greater of one hundred dollars ($100) or the amount you paid MTG in the twelve (12) months preceding the event giving rise to the claim.

9.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by applicable law.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MTG and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms

• Your User Content

• Your use of the Services

• Your violation of the rights of any third party

11. TERM AND TERMINATION

11.1 Term

These Terms will remain in effect until terminated by either you or MTG.

11.2 Termination by You

You may terminate these Terms at any time by:

• Cancelling your account

• Discontinuing your use of the Services

• Providing notice of termination to MTG

11.3 Termination by MTG

MTG may terminate these Terms or suspend your access to the Services at any time, for any reason, and without advance notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms

• Abuse of the Services

• Engaging in fraudulent, deceptive, or illegal activities

• Non-payment of fees

• Upon request by law enforcement or government agencies

11.4 Effect of Termination

Upon termination:

• Your rights under these Terms will end immediately

• You will lose access to the Services and your account

• Previously collected fees will not be refunded except as expressly provided in these Terms

• Sections 7, 8, 9, 10, 11.4, and 12 will survive termination

12. ADDITIONAL TERMS

12.1 Communications

By creating an account or providing your email address, you consent to receive electronic communications from MTG, including:

• Operational communications concerning your account or transactions

• Updates concerning new and existing features of the Services

• Marketing communications (subject to your right to opt out)

• Information about products, services, promotions, and events

12.2 Force Majeure

MTG will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, civil unrest, acts of government, fire, power failure, internet service provider failures, hardware or software failures, or any other cause beyond our reasonable control.

12.3 Publication Schedule

In addition to all national holidays on which U.S. stock markets are closed, MTG reserves the right to not publish its newsletters for a limited number of days per year, without notice. During such days, subscribers will still have access to their accounts, but will not receive regular newsletter publications. MTG will provide notice regarding its plans for managing any open positions during these occasional holidays when practical.

12.4 Class Action Waiver

You and MTG agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than through arbitration, we each waive any right to a jury trial.

12.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without MTG's prior written consent. MTG may assign these Terms at any time without notice or consent.

12.6 No Waiver

The failure of MTG to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of MTG.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

12.8 Entire Agreement

These Terms, including the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and MTG regarding the Services.

13. CHANGES TO TERMS

MTG reserves the right to modify these Terms at any time by posting updated Terms on our website or by sending you a notification. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

14. GOVERNING LAW AND JURISDICTION

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in the county where MTG maintains its principal place of business.
